Business Taxes in Florida

Florida imposes no personal income tax, so pass-through business income is taxed federally only, while C-corporations pay a Florida corporate income tax. Florida has no pass-through entity tax election because there is no individual income tax to work around. Sales tax, tangible personal property tax on business equipment, and the annual state report are where Florida owners most often slip.

Verify annually — figures adjust

State rates, thresholds, fees, and deadlines change every year. Confirm each figure against the state's own revenue department before relying on it.

Key points

  • Florida levies no personal income tax, so pass-through business income from an LLC, partnership, or S-corporation is taxed federally only.
  • Florida has no pass-through entity tax election because such an election works around owner-level state income tax, and Florida taxes no individual income.
  • Florida C-corporations, including an LLC that elected corporate treatment, pay the Florida corporate income tax on income apportioned to the state.
  • An out-of-state seller whose sales into Florida cross the state economic nexus threshold must register, collect, and remit on taxable sales.
  • The most common Florida error is treating no income tax as no filings, and missing the annual report, the county tangible personal property return, or sales tax registration.

Does the state tax my business income, and where?

Florida does not levy a personal income tax. If your business is a sole proprietorship, partnership, S-corporation, or LLC taxed as one of those, the income flows through to your federal return and there is no separate Florida income tax on that share. The state's income tax burden falls on C-corporations, which pay a Florida corporate income tax on income apportioned to the state.

There is no county or municipal income tax in Florida, so the local layer that owners deal with is not an income tax at all. It is sales and use tax collected on taxable sales, plus a tangible personal property tax that counties assess on the furniture, fixtures, and equipment a business owns. Owners moving from a state with an individual income tax should not assume Florida is tax-free; the obligations simply sit in different places.

Is a pass-through entity tax election available, and when is the deadline?

Florida offers no pass-through entity tax election, and it is important to understand why rather than to go looking for the form. The federal cap on the individual deduction for state and local taxes is the problem a pass-through entity tax is designed to solve, but that problem only exists where the state taxes individual income. Because Florida does not tax individual income, there is no state tax at the owner level to shift to the entity, and no election to make or deadline to track. Owners who also do business in states that do tax individual income may still benefit from those states' elections on the income sourced there.

When does an out-of-state seller owe sales tax here?

An out-of-state seller can owe Florida sales tax without ever setting foot in the state. Following the Supreme Court's Wayfair decision, Florida enforces an economic nexus standard, so a remote seller whose sales into Florida cross the state's threshold over the measurement period must register, collect, and remit tax on taxable sales to Florida customers. Physical presence such as inventory, employees, or a location still creates nexus as it always has, but crossing the economic threshold is enough on its own. Marketplace facilitators generally collect on behalf of sellers who sell through their platforms, which changes who remits but not whether the tax is due.

What deadlines differ from the federal calendar?

The Florida date that catches owners off guard is the annual report every registered entity must file with the state to stay active; missing it leads to a late fee and, eventually, administrative dissolution, and this deadline has nothing to do with the federal income tax calendar. Sales and use tax is filed and paid on a recurring cycle set by the state based on your collection volume, not annually. The tangible personal property tax return is due to the county on its own schedule. C-corporations also face Florida corporate income tax return and estimated payment dates that are set by the state and do not always mirror the federal ones. None of these move because a federal deadline moved.

What do owners in this state most often get wrong?

The most common Florida error is treating "no income tax" as "no filings." Owners forget the annual report and lose good standing, overlook the tangible personal property tax on equipment they already own, or fail to register for sales tax once they have nexus. Another frequent slip is assuming an online or out-of-state customer base carries no Florida obligation, when economic nexus and marketplace rules may already require collection. The absence of a personal income tax narrows what you owe, but it does not remove the compliance calendar.

Common questions

Does Florida tax the income my LLC passes through to me?
Not at the state level. Florida has no personal income tax, so pass-through income reported on your personal return is subject to federal tax only. The exception is an LLC that has elected to be taxed as a C-corporation, which would fall under the Florida corporate income tax.
Why can't I make a pass-through entity tax election in Florida?
A pass-through entity tax exists to work around the federal cap on deducting state income tax paid at the individual level. Florida does not tax individual income, so there is no owner-level state tax to shift to the entity and no election to make. If you owe individual income tax in another state, that state's election may still help you there.
I sell online from out of state. Do I owe Florida sales tax?
You may. Florida applies an economic nexus standard, so once your sales into the state cross its threshold over the measurement period you must register, collect, and remit on taxable sales. If you sell through a marketplace, the platform often collects on your behalf, but you should confirm that rather than assume it.
What is the tangible personal property tax and does it apply to me?
It is a county-level tax on the equipment, furniture, and fixtures a business owns and uses. If your business holds such property, you generally must file a return with the county appraiser to report it. Many owners overlook this because it is separate from both income tax and sales tax.
